Group: Companies might cut China investment

(AP) ? Frustrated by China's market barriers, European companies might shift future investment to other economies, a business group said Tuesday, in an unusually pointed warning about a possible backlash over Beijing's trade policies.

Beijing faces a flurry of complaints by the European Union, the United States and other nations that it is violating its trade commitments by protecting or subsidizing its companies in industries from steel to solar power. With a weak global economy threatening to push up unemployment, Washington and other governments face political pressure to respond.

Half of some 557 European companies that responded to a survey say regulatory barriers have limited their business opportunities and hurt profits, according to the European Union Chamber of Commerce in China. One in five companies said that might prompt them to shift future investment to other economies.

"Companies feel as if they missed business opportunities, and if this continues, they might consider to shift their business operations outside of China," the group's president, Davide Cucino, said at a news conference.

Cucino said that if he were a Chinese official, "I would think this sounds alarming."

He appealed to Chinese authorities to give foreign companies access to banking, insurance and a wide array of other "strategic industries" that are dominated by state enterprises.

Foreign business groups have complained for years that Beijing improperly favors Chinese enterprises but global companies have continued to invest and are reluctant to talk publicly about their frustrations for fear of angering communist authorities. Thursday's report was unusually explicit in saying companies' frustration has grown so severe that they might scale back investment plans.

The potential threat to investment could be a setback to Chinese government efforts to reverse a sharp economic downturn. The Cabinet said last week it wants more private sector spending but gave no indication whether foreign companies would be eligible for tax cuts and other proposed incentives.

Tensions over Beijing's industrial policies have led to a volley of trade complaints.

The U.S. Commerce Department concluded this month that Chinese manufacturers were selling solar power equipment below fair value and proposed imposing a 31 percent tariff. Beijing fired back with a ruling by its Commerce Ministry that Washington's support for six renewable energy projects in the United States violated free-trade commitments.

On Friday, Beijing filed a case with the World Trade Organization in Geneva challenging U.S. anti-dumping and other measures against 22 types of Chinese goods.

As for Europe, the EU is preparing to launch a trade case against Beijing after concluding Chinese telecoms equipment producers receive improper subsidies, the Financial Times newspaper reported last week.

Chinese leaders including Premier Wen Jiabao, the top economic official, have publicly assured foreign companies they are welcome in China and have changed some rules that favored local competitors. But in many areas, foreign companies complain they are blocked by Beijing's efforts to nurture Chinese industry.

A March report by the American Chamber of Commerce cited problems including restrictions on investment in some areas and pressure for foreign companies to hand over technology to Chinese partners.

Cucino noted that while Wen and other top leaders have promising to open more areas of the economy to foreign companies, the Finance Ministry last week ordered local agencies to buy Chinese goods.

Companies have to look "not to the statement but to the facts," Cucino said.

Cucino also appealed to Chinese authorities to treat foreign companies equally with state-owned Chinese enterprises and to promote free-market competition.

The World Bank and private sector analysts have urged similar steps, warning that they are needed to keep China's economy growing.

The Cabinet said last week it would give private investors more access to China's energy and other government-dominated industries, but Cucino said European companies have yet to see any sign they might benefit from that.

Energy Innovation Grants to Colorado Small Businesses ...

Last week Colorado U.S. Senator Michael Bennet announced that six Colorado small businesses were selected to receive Small Business Innovation Research (SBIR) Grants of $150,000 by the Department of Energy for projects on power generation from geothermal heat, emissions reduction and increasing fuel efficiency.

The grants are part of $11 million in innovation grants announced today for nearly 70 small businesses across the country. The small businesses selected will be eligible to compete for a second phase of the program for awards up to $1 million over two years.

?These grants speak to the cutting-edge, innovative work being done here in Colorado.? Bennet said. ?Our state has been on the leading edge of clean energy sector job creation, entrepreneurship, and innovation, areas that SBIR resources are targeted to support.? I look forward to seeing these small companies continue to grow, thrive and drive Colorado?s economy.?

In January, Bennet wrote a letter to the Small Business Administration relaying concerns from Colorado small business owners and asking for quick responses on SBIR grant applications. Improving the timeliness of the SBIR grant process is one of many policy recommendations presented to Senator Bennet as part of ?Colorado Competes,? a report prepared by Coloradans for an Innovation Economy that provides a framework designed to make Colorado a place where innovators and entrepreneurs can thrive.

According to the Department of Energy, Colorado businesses selected for the SBIR grants were:

Golden Gate Bridge celebrates 75th birthday

Crowds gathered along San Francisco's waterfront Sunday, while San Francisco Bay was crowded with pleasure boats, tug boats and other vessels as the city celebrated the 75th anniversary of the Golden Gate Bridge.

Tens of thousands of people were expected to flock to the area to enjoy a number of events taking place along a section of waterfront stretching from Fort Point south of the bridge to Pier 39 along The Embarcadero.

At least several thousand people had gathered along the waterfront by Sunday afternoon, said Mary Currie, public affairs director for the Golden Gate Bridge, Highway and Transportation District.

"Everyone is biking and walking and looks very happy," she said. "We're off to a great start."

San Francisco resident Daniel Sutphin and his family were among those in the crowd enjoying the day and the views of the bridge.

"It's such an iconic structure, depending on the day or the hour, it just looks like it changes continuously," Sutphin said as he walked through the Fort Point area with his wife and their three young children.

Since it opened in 1937, more than 2 billion vehicles have crossed the 1.7-mile-long bridge named after the Golden Gate Strait, the entrance of water to San Francisco Bay from the Pacific Ocean, and championed by engineer Joseph Strauss in the 1920s.

Because of the crowds expected and with no parking available near the bridge, officials were urging people to take mass transit to the events.

The California Highway Patrol was planning on shutting down traffic across the bridge from 9 p.m. through 10 p.m. for a monumental fireworks display set to take place over the bridge.

In a stark contrast to the thousands of celebrants, members of the group the Bridge Rail Foundation, an organization dedicated to stopping suicide jumps from the bridge, erected a display of 1,558 pairs of shoes, representing the number of people who died in leaps form the bridge since it opened in 1937.

"It's a symbol of how deep and serious this problem has been," said Paul Muller, a spokesman for the group. "We're still losing 30 to 35 a people a year off the bridge," he said.

Meanwhile on the water, Golden Gate ferries were running again after a one-day strike disrupted service across San Francisco Bay on Saturday.

Workers represented by the Inlandboatmen's Union walked off the job on a day strike, forcing the cancellation of ferries operated by Golden Gate between Larkspur, Sausalito and San Francisco.

The strike was called after nearly a year of negotiations over workloads and other matters, said Marina Secchitano, the union's regional director.

California Gov. Jerry Brown issued a statement Saturday evening, saying that he was appointing a board to investigate the strike, which, he claimed, created a disruption to public service.

Secchitano disputed the governor's claim, questioning the motivation to call for an investigation after a one-day strike. "(This is) an action to try to silence us," she said.

"They're counting on this process to back our membership off the issue," she said.

Ferry and union officials said service resumed Sunday when workers returned to work.

Administrative Amnesties Create More Problems Than They Solve ...

An article in the May 24 Boston Globe highlights the problems created when the executive branch tries to make an end run around Congress by using its rule-writing authority to allow illegal aliens to remain here in virtual amnesty, but then cannot deliver the green cards.

The article sympathetically describes how a crooked immigration lawyer in Boston submitted fraudulent or baseless green card petitions on behalf of hundreds of illegal immigrants who are now subject to removal. The lawyer took advantage of a loophole created by immigration policymakers in the Clinton administration in response to the sunset in 2001 of a controversial legalization program known as 245(i). This loophole allowed people to submit what were known as "skeletal" petitions, with little documentation of eligibility for the green card. The petition is the first step in the green card application process, and it was understood that they would not be scrutinized or adjudicated for many years due to the long waiting lists in certain categories. Under the Clinton administration rules, immigration officers were told to approve the petitions as long as the fee was paid, giving these applicants temporary quasi-legal status as a "pending" immigrant, including a work permit.

I know this will shock many people, but some unscrupulous immigration lawyers and others bent on gaming the system seized upon this loophole to submit fraudulent applications. Because the legal immigration process is so back-logged, some of the huge number of bad petitions are only now being discovered and dealt with. Remarkably, the immigration agencies are actually moving to revoke some of the petitions of illegal aliens with suspect applications since they never qualified for a green card. Immigrant advocates are predictably upset, arguing that the crooked lawyers duped the unsuspecting illegal aliens into thinking they were getting a green card legitimately. Interestingly, the advocates don't seem to be upset with the crooked lawyers, just with the government for enforcing the law and preventing unqualified illegal aliens from receiving green cards. New lawyers have stepped in to help the illegal aliens sue in federal court to avoid deportation.

The Obama administration is in the process of implementing a similar loophole for illegal aliens who have married U.S. citizens. By law, an alien who has lived here illegally for more than six months is barred from adjusting to permanent status for either three or 10 years, depending on the length of illegal stay. To get a green card, such an illegal alien has to leave the country to apply, and a U.S. citizen must show "extreme hardship" for the illegal alien applicant to qualify for a waiver from the three- or 10-year bar. This law, which passed in 1996, was meant to discourage prospective immigrants from jumping in line by living here illegally while they wait to be processed. If the law is strictly applied (or even weakly applied, as is the case currently) this means that some illegal aliens have to go home for either a few weeks or 10 years in order to get a green card.

Because it is obviously unacceptable that an illegal alien should be inconvenienced or penalized, the administration has found a way to skirt the law. Under the new rules, such barred illegal aliens will be able to receive a "provisional waiver" of their ineligibility, enabling them to avoid having to travel to their home country and risk possible denial by an immigration official who might be in the habit of applying the law. When the real application is eventually adjudicated, if approved, the alien can travel home just long enough to pick up the immigrant visa. If the waiver or green card is not approved, say, because of fraud, a criminal act, communicable disease, ties to terrorism, or other ineligibilities, no sweat ? they can just keep living here illegally. They need not fear removal, because last November USCIS officers received a memo telling them not to act on failed green card applicants unless they are serious criminals.

Like the "skeletal petition" policy, this "provisional waiver" policy is a bad idea, and not just because it is an abuse of executive authority aimed at undermining the laws passed by Congress, as well as a slap in the face to the 4.6 million applicants waiting their turn abroad, and their citizen and legally-resident sponsors who went about it the right way. It also invites more fraudulent applications into a process already riddled with fraud, virtually guaranteeing that many more cheats and swindlers (not to mention possibly terrorists and criminals) will get green cards, and some U.S. citizens will be used and abused for that purpose. But no matter, than can be sorted out after the election.

Smart bullet ready to leave the lab, hit target more than 1 mile away

1 hr.

A laser-guided smart bullet that uses tiny fins to steer as is screams through the air is almost ready for prime time, be it a battlefield or a high-mountain deer hunt.

The bullet is under development at Sandia National Laboratories in New Mexico, where it was thought up by a pair of engineers there who spend a chunk of their free time out hunting.

The four-inch-long projectile is reported to improve long-distance marksmanship by about 98 percent, at a distance between 1 and 2 kilometers.

To do so, an optical sensor in the bullet?s nose detects a laser beam shining on a distant target. The sensor sends information to guidance and control electronics that steer tiny fins that guide the bullet to the target.

Word of the smart bullet?s development first surfaced in January. Today, IEEE Spectrum reports that Sandia is wrapping up prototype tests and actively seeking a commercial partner to turn out field-ready bullets.

Larry Shippers, manager of systems technology at Sandia, told IEEE that the technology has already proven skeptics wrong ? the battery and chip survive being fired out of a .50-caliber rifle.

?Launch tests found that the monition?s innards did indeed stand up to the crushing 120,000 g-force acceleration and 344.7 megapascals (50,000 pounds per square inch) of pressure as the bullet comes hurtling out of the barrel,? the website reports.

This makes one hope the materials scientists we reported on Thursday who are working on next-generation armor hurry up and get it done.

Sound Beach | Oolala the Arty Life

When Mama was young her father built his family a summer cottage on the Long Island Sound. The cottage was bare bones simple. Rooms were small, walls were thin, kids all slept up the ladder steep stairs in the unfinished attic.

Sound Beach

There wasn?t a flush toilet until I was five or six. And the bathroom, when it was finally built, wasn?t inside the house. You had to go out through the back door to the little shed attached to the back of the kitchen. Nothing but the basics, the toilet and a sink, but heaven compared to the two seater at the back of the lot.

I dimly recall an outdoor shower but I don?t remember using it much. We spent most all day at the beach and if I was crusty with salt, well, that was all part of summer. Every summer. Along with sunburns and lazy afternoons reading in the hammock, a big canvas thing strung between a couple of trees. There were card games and coloring books and jig saw puzzles. There was no TV.

It. Was. Heaven.

Four generations of family called it home in the summer. Aunts and uncles, grandparents and cousins. We took turns and overlapped. And when the cousins were quasi adults in college and wanted a private place to?entertain, it became the winter weekend no-tell motel.

It?s a wonder we never bumped into each other.

We went to a family reunion there when FirstBorn was a baby. Flew in from California. By this time my grandparents were long gone. But their children, their grandkids and the great grands were all there.

It was the last time we were all together. People moved away. People died. The cottage was empty most of the year, even in summers. Eventually the decision was made to sell it. The new people tore it down and built their own house. A real house, a year round house.

Sound Beach. Our history grew into our vocabulary. When we liked something we said it reminded us of Sound Beach. Norway reminds us of Sound Beach. The narrow country lanes in my part of California are like the narrow roads we drove there. Wicker chairs. Hammocks. Hot summer nights. We were summer people, we never lived there but it was HOME.

This morning I woke up to an email from my sister, the one in Norway. A friend had been visiting Long Island. Armed with the address and Google Earth, she took pictures of the new place on our old property.

It gave me such great pleasure to see the house they built. A home with flower baskets on the front porch. Painted yellow, almost the same color as the cottage. It sits back from the road, with a lawn in the front. It?s well kept and looks comfortable. Looks like family.

Nana would?ve loved it. Mama would?ve loved it. And me? ?I could move right in.

I didn?t think I?d ever want to see the new house. But life is about growth and change. Moving forward. My family shares the memories of a magical place. But we have moved on.

And now it?s time for others to make memories of their own.

Pangaea Beer & Food - Homebrewing, Cooking, Recipes ...

Homebrewing seems to have this uncanny ability to keep you humble (which is ironic, considering drinking has the opposite effect). ?Just when you think you've really mastered the craft, just when you start to get overconfident, it kicks you square in the nads and says, "Oh no, buddy, I own you!" ?Such was the case with this batch...?Say hello to the sad, sad remnants of my experimental Pseudo-Kvass, made with barley, wheat and rye malt, English hops, molasses, baker's yeast... and apparently, a shit load of carbonation.

I'm not sure exactly what went wrong here. ?Maybe my math was off? ?Maybe the bottles were overfilled? ?Maybe I read the hydrometer wrong? ?Who knows? ?All I know is that I received a phone call from my extremely patient mother, whose kitchen I borrow (and consequently demolish) for brewing. ?"James," she said. ?"I think your beer is exploding." ?Apparently her and my step-father sat down for a nice evening dinner, no doubt accompanied by the atypically social family cats, and were promptly?interrupted?by a series of shotgun-like blasts?emanating?from the depths of the dusty basement. ?I keep my fermenting and carbonating beer in a steel storage cabinet that I lifted from work (love me some freebies) to keep them out of the sun and away from the aforementioned nosy animals (who I've caught trying to drink spilled beer). ?When the bottles began to pop, the projectile shards slammed against the metal walls, creating an obnoxiously loud boom... over and over again.
Luckily, failed experiments don't bother me. I consider it a small price to pay for the massive benefit of occasionally successful experiments. ?I did, however, learn to take meticulous notes, so that the next time I screw the pooch I could at least figure out where said pooch-screwing?occurred and course correct moving forward. ?I have a few other beers in the line-up I want to attempt before I get around to this, but I think it's safe to say I'll give it another go in the near future.

Damien Oliver: Champion Australian Jockey

Perhaps more than any other sport where one competitor depends on the performance of a teammate, horseracing makes us ask the question: who deserves most of the credit, the jockey or the horse?

Sometimes this question is easily answered as in cases where either a horse has an exceptional record regardless of who steers it, or a jockey posts exceptional results on a lot of different horses.

A prime example of the latter instance, where a jockey wins repeatedly on a variety of horses, is well represented by the record of Damien Oliver.

Damien Oliver, born 22 June 1972 near Perth, has the racing record, prize money statistics and recognition acquired over the course of a career that has featured consistent high performance for more than 20 years.

Oliver is one of the few jockeys that can claim ownership of the grand slam of Australian horse racing by winning the Melbourne Cup, Caulfield Cup, Cox Plate and adding the Golden slipper stakes in 2007. In fact, he would need only one more Golden Slipper Stakes victory in order to lay claim to two career grand slams.

His record to date includes over 90 group 1 wins, almost 1000 victories and close to $94 million in prize money. At a stage in life where many hoops have chosen to hang up the boots, Oliver's 2010/11 season has already produced 54 wins, and it's not entirely inconceivable that he could equal or surpass the 115 wins he posted in 2008/09.

He has ridden and produced all over Australia, New Zealand, Britain, Ireland and Hong Kong. His skills on Australian turf feature almost 200 wins at Mooney Valley, 122 at Flemington and 129 at Caulfield. Since 2002, he has ridden five winners in one day on no fewer than six occasions and four winners in one day ten times. He has had two-win days on so many occasions that it hardly bears mention.

One measure of the jockey's reputation is represented by how he is regarded by the trainers for whom he rides. Oliver obviously fulfills this criteria by having won almost 200 races for Lee Freedman, over 60 for Mick Price, 30 for Peter Moody and 23 for Tony Mc Evoy.

Another that tips the balance in favor of the jockey as to which is the more important cog in the wheel is the number of victories obtained on any particular horse. Oliver's near 1000 wins have been distributed over a wide range of thoroughbreds. Only one, Alinghi, has accounted for ten.

Finally, awards and recognitions granted by peers and others knowledgeable in the field of horse racing bear a great deal of weight in the analysis. Oliver has been on the receiving end of no less than six Scobie Breasley medals. He was also inducted into the Australian Racing Hall of Fame in 2008, one of fewer than 30 jockeys granted that distinction in the entire history of Australian horse racing.

Other noteworthy achievements include winning the apprentice Jockey Championship in 1988/89 with 66 wins, and taking home six Melbourne Senior Jockey Championship trophies.

No story about Damien Oliver would be complete without some mention of the adversity his career has sustained. Both his father Ray and his older brother Jason were jockeys who lost their lives to the sport.

Father Ray Oliver was killed in a fall in 1975 at Kalgoorlie when Damien was just three years old.

Brother Jason was killed at Belmont Park in 2002, dying scant days ahead of Damien's scheduled 2002 run on Media Puzzle in the Melbourne Cup, a race he went on to win, providing a drama that touched the hearts of punters worldwide.

Sinn Fein sees route to power in Irish austerity

DUBLIN (Reuters) - Sinn Fein hopes to ride a wave of anger against austerity measures to achieve its ambition of ruling Ireland, its leader Gerry Adams said on Friday, as misgivings about its role in the Northern Ireland conflict fade.

The political wing of the now-defunct Irish Republican Army has seen its support surge since Ireland's Celtic Tiger economy began to collapse in 2008 and is now the second most popular party in the country, according to opinion polls.

With the three largest parties in parliament all backing a program of austerity under an IMF-EU bailout, Sinn Fein, until recently viewed as political pariahs in the Republic of Ireland, are sweeping up as the chief outlet for dissent.

"Our ambition is to be the main party on the island," Adams told Reuters in an interview outside Ireland's parliament where he took a seat for the first time last year after calling time on his political career north of the border.

"The party is growing, we are getting very, very good attendances at public meetings," he said. "There is a process of politicization across the state and increasing numbers are looking to us to provide leadership."

Europe's economic and debt crisis has boosted populist parties in many countries, with groups from the far right and hard left tapping anger at the failure of politicians to resolve the situation.

In Ireland, Sinn Fein's mixture of left-leaning populism and nationalism is gaining support beyond its traditional working class base. Its score of 21 percent in a recent Irish Times poll last month was its largest yet.

The government's backing for an austerity drive dictated by Ireland's international lenders and set to continue for at least another four years is becoming an increasingly easy target.

"What we articulate has an echo in each of the European states. ...people realize that austerity isn't working," said Adams. "There are many many voices that are arguing that you can't cut your way out of recession."

Sinn Fein has in the past struggled to win support among Ireland's dominant middle class, which has been reluctant to support a party associated with the IRA's campaign of violence, which killed innocent civilians.

For years Adams was seen as the face of republican opposition to British rule in Northern Ireland, and he was once interned as a paramilitary suspect during Northern Ireland's three decades of violence.

The economic crisis, however, has provided a new platform for Sinn Fein, with a party whose members were officially banned from speaking on Irish media until 1993 now featured daily on national television news.

"RADICAL, PRACTICAL VOICE"

Sinn Fein is the only large political party to oppose the European Fiscal Treaty, a German-led bid to put austerity limits into national legislation. A May 31 referendum on the treaty is expected to be the EU's only popular vote on the treaty.

The "Yes" campaign is leading in most polls, but large numbers are undecided and some of the country's main unions recently refused to back the treaty, saying they could not recommend additional austerity to their members.

The main battle is being fought over the wording of the treaty, where a "No" vote would cut Ireland off from additional funding from Europe's new permanent bailout fund should it - as is likely - need additional non-market funding when its 85 billion euro bailout ends next year.

But Adams says European parties would not dare cut Ireland off. "I have no doubt about that whatsoever...They are not going to risk contagion across the European Union. I think the government are scaremongering on this," said Adams.

Last year's election, when Sinn Fein tripled its seats to a record 14 in the Republic of Ireland's 166-seat lower chamber, gave notice that the party could one day match its success in the north where it shares power.

The party hopes to consolidate its position as the second most popular party at the next elections and would consider forming a coalition government as a stepping stone to its ultimate goal.

"People now have a clearer view of Sinn Fein. There is no boundary in terms of the continued development of Sinn Fein as an alternative, radical but practical, voice," Adams said.

PETE ROCK & LUPE SQUASH T.R.O.Y FEUD ? INDUSTRY ALL ...

PETE ROCK & LUPE SQUASH T.R.O.Y FEUD

Sometimes sampling and remixing are flattering and appreciated within the music industry, but when it comes to those that are considered ?legendary?, some records are just off limits and should never be touched. Rapper and producer, Pete Rock, surely believes that this idea of keeping legendary tracks unaltered is true. That is why when hip hop artist Lupe Fiasco sampled Rock and C.L. Smooth?s ?They Reminisce Over You (T.R.O.Y)? for his own recent single, ?Around My Way (Freedom Ain?t Free)? off of his new album Food & Liquor II,? Pete Rock voiced his disapproving thoughts openly to the public via Twitter.

Though having no personal issue with Lupe, Pete Rock surely had a problem with the producer/label heads who thought it a good idea to reuse the T.R.O.Y instrumental. Rock criticized the industry by tweeting, ?This business can be so lame. Sometimes, I make beats blindfolded with one hand tied behind my back and still these cats can?t be original too. So untalented and unoriginal. Makes me feel like I?m truly the best that ever did it.?

As of recently, Pete Rock and Lupe Fiasco have come to terms with the situation and have gotten things squared away. The popular social media site, Twitter, was used as the outlet once again.

?Shout to the friends & family for bringing some internal closure to this?all g on this side Pete?Big Chuck whaddup?#MyGodFoRealListen,? Lupe tweeted.

Pete Rock tweeted, ?I just got off da phone with Lupe. We worked out our differences and we bout to get it in. Gonna be epic and we gonna give Troy and Hev (Heavy D) the proper respect they deserve and make history with Lupe.

Seems as if we all can be on the lookout for a Pete Rock/Lupe Fiasco collaboration sometime in the future.

Trust, school district trying to strike land deal | Philadelphia Real ...

Representatives of a family trust and a Pennsylvania school district are negotiating the transfer of a piece of commercial real estate. First, however, the two sides must agree to future land use and other issues.

The family trust wants to sign over a 68-acre parcel, but it will require that the local school district first meet a dozen conditions. A school district official vowed to live up to the conditions, should it go ahead and accept the gift.

Appraisers have valued the land at about $700,000.

First among the conditions is the agreement to use the land primarily for a school. The trust wants the district to agree to build a school in a two-year time span. That would require speeding up the plans to open a new school before the 2015-16 academic year, so representatives for the district hope to strike an agreement to amend the wording to "under construction" within that time frame.

Other stipulations for the gift include putting $35,000 into an escrow account; reimburse the family trust for any legal fees, paying a local real estate company a $70,000 finder's fee and allowing the family trust to access any sewage and water lines that the district might build at no cost.

As the two sides discuss a prospective agreement, architects will conduct environmental tests and study the wetland barrier to make sure no barriers exist to building.

The school district is being prudent in making sure the site can accommodate a school in the size the district will need as well as testing the site for building capability before any land transfer takes place. Exercising caution now can ensure that the transfer does not turn into a real estate dispute later.

Eaton buying Cooper Industries in $11.46B deal

(AP) ? Eaton Corp. has agreed to purchase Cooper Industries PLC in a cash-and-stock deal valued at about $11.46 billion that is designed to expand its reach in the global electrical power and distribution industry.

The deal announced Monday would create a company that manufactures products for a wide range of electrical uses, from power grids and lighting to electrical, hydraulic and transmission systems for vehicles, the aerospace industry and the military.

The new company, likely to be called Eaton Global Corp. PLC, which will be incorporated in Ireland and headed by Eaton Chairman and CEO Alexander Cutler. The deal needs the approval of shareholders of both companies and the Irish High Court. It is expected to close in the second half of the year.

Cutler told analysts during a conference call that the combination of the two companies will create a business well-positioned for growth in managing power for customers around the world.

Under terms of the deal, each Cooper stockholder will receive $39.15 in cash and 0.77479 of a share in the newly created company. That combination is worth $72 per share based on Eaton's closing share price of $42.40 on Friday. It would be a premium of nearly 29 percent over Cooper's closing stock price on Friday.

Eaton stockholders will receive one share of the new company for each Eaton share they own.

Eaton stockholders are expected to own about 73 percent of the combined company, with Cooper stockholders owning the rest. The deal will be taxable to both Eaton and Cooper shareholders, for U.S. federal income tax purposes.

Cooper currently has approximately 159.1 million outstanding shares, according to FactSet. The companies value the total deal at about $11.8 billion.

Excluding a non-cash expense, the buyout is anticipated to add to operating earnings by 65 cents per share in 2014 and by 75 cents per share in 2015.

The companies expect to achieve $375 million of operational synergies ? a term that refers to estimated cost savings and added revenue resulting from the combination. Cutler said that as a result of increased flexibility and global cash management, there will be a tax benefit of about $160 million per year. He declined to comment on a specific rate or projection.

Eaton spokesman Gary Klasen said they would not be able to discuss any impact on jobs until the transaction closed and officials had a chance to evaluate the new company's needs. He said operations in Cleveland would remain intact.

Cooper offers a variety of electrical products including electrical protection, power transmission and distribution, lighting and wiring components. Eaton, which is based in Cleveland, makes electrical and hydraulic components, systems and services. It also makes aerospace fueling, hydraulic and pneumatic systems for commercial and military use as well as vehicle drivetrain and powertrain systems.

The deal needs the approval of a majority of Cooper shareholders and of the Irish High Court. Eaton shareholders with two-thirds of the company's outstanding voting stock also must also approve the buyout.

The combined company's shares are expected to trade on the New York Stock Exchange under the "ETN" ticker symbol now used by Eaton Corp.

Shares of Cooper rose $14.04, or 25.1 percent, to close at $69.88 Monday after rising to a new high of $71.37 earlier in the session. Shares of Eaton fell 31 cents to $42.09.

After the news was announced, Moody's Investors Service placed the long-term debt ratings of Eaton under review for possible downgrade. It also placed the debt ratings of Cooper US Inc., a principal debt issuer in the Cooper group under review for possible down grade.

The transaction will be financed with cash, debt and equity. Eaton says it has secured a $6.75 billion bridge financing commitment from Morgan Stanley Bank, Morgan Stanley Senior Funding Inc. and Citibank to fund the cash portion of the buyout.

The decision to send your parents to a senior care facility such as Michigan home care can be a difficult one, especially if family members are unsure whether or not their parents are ready to be moved to senior care. The senior's feelings are important, but they may not want to admit that they can no longer take care of themselves. Adult children tend to see their parents in the same light as they saw them as children and may have a difficult time accepting that their parents need help.

Some people move their aging parents into their homes rather than sending them to senior care, but this arrangement can be hard on the whole family. Parents who are used to taking care of their children may have trouble accepting help from their children. It often causes more stress on the family for parents to move in with their children than it does for the parents to move to a senior care facility.

People are ready to move to a senior care facility such as Michigan Senior Care when they are unable to cook for themselves or take their medication on schedule. They may tell their children that they are eating, but have the same food sitting in their refrigerator going bad. They may have extra pills left in the bottle at the end of the month and not know when they forgot to take them. People who are ready for a senior care facility such as Michigan Elder Care often fall or bump into things and get bruises.

Elderly people who are no longer able to drive often benefit from living in a care facility because they won't have to worry about bothering their children or other family members when they need to go grocery shopping or have a doctor appointment. Some seniors purposely skip doctor appointments because they don't want to trouble anyone else with transporting them to the appointment and back home again. Avoiding doctor appointments often causes treatable medical conditions to worsen considerably.

Many people who need senior care such as Michigan Home Health Care are unable to take care of themselves physically. Their children may notice that their clothing is dirty or that they wear the same clothing for several days in a row. They may also notice that their hair is uncombed and their house is not as clean as it used to be. These are signs that the parent needs to be in a senior care facility to get help every day with bathing, laundry, cooking, taking pills and other necessities of life.

Seniors need as much attention as babies. The big difference is that seniors tend to be more independent. Some seniors don?t feel like help is necessary at all. We have the answers for both situations! Our caregivers help with chores of the house and the care of your elder. Whether your elder needs more attention than others, we have the right person for you. http://michiganhomecareassistance.com/
